Acceptance of Terms

By accessing or using the Seshn website (seshn.io) and mobile applications (Android and iOS), collectively referred to as the "Service," you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Seshn LLC ("Seshn," "we," "us," or "our").

Definitions

• "Service" refers to the Seshn website (seshn.io) and mobile applications (Android and iOS).
• "User Content" means content you submit, including profile information, photos, session notes, and messages.
• "Participating Businesses" are independent third-party businesses that use Seshn to manage bookings.
• "You" or "your" refers to the individual or entity using the Service.

Description of Service

Seshn provides a session tracking and scheduling platform for businesses. Our Service allows users to book, manage, and track sessions with participating businesses.

We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice.

User Accounts

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 13 years old to create an account and use our Service. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms. You may not use the Service if you are barred from doing so under applicable law.

You may terminate your account at any time through the account settings in our mobile app or by contacting us at privacy@seshn.io.

Payments and Billing

Business subscribers are subject to applicable subscription fees as outlined in their service agreement. For end users booking sessions through participating businesses, the Service is free to use unless otherwise indicated at the time of booking.

Payment terms, including fees, refund policies, and billing cycles, are governed by the applicable subscription agreement between Seshn and the business subscriber.

End users do not pay Seshn directly for booking sessions. Any fees, deposits, or charges are determined and collected by the participating business according to their own policies.

Cancellation and No-Show Policies

Cancellation and no-show policies are set by the individual business and displayed at the time of booking. Seshn is not responsible for enforcing or refunding under those policies.

User Content

You may submit content to the Service, including but not limited to profile information, profile photos, session notes, messages, and other materials ("User Content"). You retain ownership of your User Content.

By submitting User Content, you grant Seshn a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, store, display, reproduce, modify, and distribute your User Content solely as necessary to provide and improve the Service.

We will not use your User Content for marketing purposes or sell it to third parties. For details on how we handle your data, see our Privacy Policy.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate these Terms or any applicable laws.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit harmful, offensive, objectionable, discriminatory, harassing, or abusive content or messages
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use the Service for any fraudulent or deceptive purposes
• Collect or harvest user information without consent
• Use automated systems or bots to access the Service
• Impersonate any person or entity, or misrepresent your affiliation
• Make spam, fake, or fraudulent bookings

Intellectual Property

The Service and its original content, features, and functionality are owned by Seshn LLC and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

Third-Party Services

Our Service may contain links to third-party websites or services that are not owned or controlled by Seshn. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Seshn shall not be responsible or liable for any damage or loss caused by your use of any third-party websites or services.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee the accuracy of business availability, session details, or other information provided by participating businesses through the Service.

Participating businesses are independent third parties and not employees, agents, or partners of Seshn. Seshn does not control, endorse, or guarantee the quality, safety, legality, or availability of any sessions or services offered by businesses.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SESHN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or personal information
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code transmitted through the Service

In no event shall Seshn's total aggregate liability arising out of or relating to these Terms or the Service exceed the greater of (a) $100 or (b) the total amounts paid to Seshn (directly or through the applicable business subscriber) in connection with your use of the Service in the twelve (12) months preceding the claim. The foregoing limitation applies regardless of whether the claim is based in contract, tort, or any other legal theory.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Seshn LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your account at any time through the account settings in our mobile app or by contacting us at privacy@seshn.io.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Upon termination, we may retain User Content as required by law or for legitimate business purposes, but will delete personal data in accordance with our Privacy Policy.

Force Majeure

Seshn shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, cyberattacks, pandemics, government actions, labor disputes or shortages, power outages, or internet service failures.

Dispute Resolution and Arbitration

Informal Resolution

Before filing a claim, you agree to first contact us at privacy@seshn.io to attempt informal resolution.

Mandatory Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in effect at the time the arbitration is initiated. The arbitration shall be conducted remotely (via video or phone) or in Marion County, Indiana, at your election. Judgment on the award may be entered in any court having jurisdiction.

We will pay arbitration filing, administration, and arbitrator fees as required by AAA rules for consumer disputes, except as required by applicable law.

Class Action Waiver

You and Seshn agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, each party waives any right to a jury trial.

Exceptions

Small claims court actions and claims for injunctive relief for intellectual property infringement are exempt from arbitration.

Governing Law

These Terms shall be governed by the laws of the State of Indiana, without regard to conflict of law principles.

Mobile Applications

Our mobile applications are available through the Apple App Store and Google Play Store. Your use of our mobile applications is also subject to the terms and conditions of the respective app store from which you downloaded the application.

Any in-app purchases, if offered in the future, will be governed by the payment terms of the applicable platform (Apple or Google).

You are responsible for any mobile carrier data charges incurred while using the Service.

You can manage push notification preferences in your device settings or within the app.

We may release updates to the mobile applications. Continued use may require you to install the latest version. We recommend keeping the app updated for the best experience and security.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Seshn regarding your use of the Service and supersede any prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by Seshn.

Export Compliance

You agree to comply with all applicable export and sanctions laws and regulations, including those of the United States.

Assignment

Seshn may assign or transfer these Terms, in whole or in part, without restriction. You may not assign these Terms without our prior written consent.

Electronic Communications

By using the Service, you consent to receive electronic communications from us, including emails and in-app notifications. These communications may include notices about your account and service updates.

Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

Data Portability

You may request a copy of your personal data in a structured, commonly used, and machine-readable format, subject to verification. See our Privacy Policy for details on how to exercise this right.

Accessibility

We strive to make the Service accessible in accordance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the version number and effective date.

For material changes, we will provide additional notice (such as via email or in-app prompt) and may require you to affirmatively accept the updated Terms. Material changes include, but are not limited to, changes to the arbitration clause, limitation of liability, how we use your data, or fees (if introduced for end users in the future).

Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
